Features are much different. It is thinner, gets a better connection, new app features built in, has built in camera, 720p video camera and web cam for video chat. Built in mic as well. Bigger screen. Faster in general. Also it comes in two colors.

Pretty much, however it does have it's own features of course, but who doesn't like bigger? It is the same idea for a portable system based off of the normal big one. XD Gameboy and Gamecube for example. lol
